End-User License Agreement (EULA)

This End-User License Agreement (the “EULA”) is between you (“you”, “Licensee”) and Individual Entrepreneur ARTEM KHAUSTOV, a Georgian Individual Entrepreneur registered under ID 302302657 with registered address at Georgia, Tbilisi, Chugureti district, Mikheil Tsinamsavrishvili street, N 52, Georgia (“NoParrot”, “we”, “Licensor”).
This EULA governs your installation and use of the NoParrot Software — the locally installable transcription application, command-line tools, and related libraries (the “Software”) — separate from the hosted Service which is governed by the Terms of Service.
By installing, copying, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.
In case of conflict between this EULA and the Terms of Service for hosted services, the Terms of Service control; for locally installed Software behaviour, this EULA controls.
1. License grant
Subject to your compliance with this EULA and payment of applicable subscription or licence fees (where required), we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to:
- Install the Software on the number of devices permitted by your plan:
- Free: 1 device
- Pro: up to 3 devices (per license)
- Team: up to 3 devices per seat
- Enterprise: as specified in your Order Form
- Run the Software for your internal business or personal purposes.
- Receive updates released during your active subscription period.
This licence does not transfer ownership of the Software; we and our licensors retain all intellectual property rights.
2. Pro / Team activation
Pro and Team features are activated locally via a cryptographically signed licence token issued by our servers.
2.1 Hardware fingerprint
To enforce the per-licence device limit, the Software reads stable hardware identifiers (e.g., motherboard UUID, CPU ID) on each activation and computes a one-way SHA-256 hash. This hash is personal data under the GDPR; we describe its handling in our Privacy Policy §2.3.
Before activation, the Software presents a clear notice describing this collection. Reading these identifiers is strictly necessary to deliver the device-licensing function you have requested; the resulting hash is processed on the basis of our legitimate interest in licence enforcement (Article 6(1)(f) GDPR). If you decline, the Software falls back to Free-tier functionality, which does not require activation.
2.2 Heartbeat and online verification
The activated Software periodically (typically once per day) connects to our servers to verify your licence remains valid. Heartbeat failures are tolerated for up to 14 days (offline grace), except in the case of:
- Refund (initiated by you within the refund window),
- Chargeback,
- Manual revocation for terms violation.
In those cases, your license is revoked immediately upon next online sync. See Refund Policy for full terms.
2.3 Device management
Within the Software, Settings → Devices, you may:
- View all activated devices.
- Deactivate a device to free up a license slot.
- Reactivate after OS reinstall (within the limit of 2 deactivations per 30 days, anti-abuse).
If you exceed the deactivation limit, contact support@noparrot.com for support-mediated review.
3. Restrictions
You agree NOT to:
3.1 Reverse engineer or modify
Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, internal data structures, or algorithms of the Software, except to the extent and for the purposes expressly permitted by:
- Article 5(3) of Directive 2009/24/EC (right to observe, study, or test the functioning of the program to determine its underlying ideas and principles when doing so during normal use).
- Article 6 of Directive 2009/24/EC (right to decompile for interoperability purposes, subject to its strict conditions).
- Equivalent mandatory law in your jurisdiction.
These rights are non-waivable in the EU and are expressly preserved.
3.2 Redistribute or sublicense
Distribute, sell, rent, lease, sublicense, or otherwise transfer the Software or any rights granted under this EULA to a third party without our prior written consent.
3.3 Remove notices
Remove, obscure, or alter any copyright notices, trademarks, watermarks, or other proprietary markings in the Software.
3.4 Build a competing product
Use the Software’s outputs, proprietary file formats, or specific feature implementations to build a substantially similar transcription service. This restriction is limited to our outputs and proprietary formats and applies only to the extent permitted by applicable law. Nothing in this section restricts your use of the general knowledge, skills, or experience you may have acquired through using the Software, and nothing here is intended to operate as a general restraint on your trade, profession, or employment (and is unenforceable to that extent, including under California Business & Professions Code §16600).
3.5 Circumvent technical measures
Bypass, disable, or attempt to circumvent the licence verification, hardware fingerprinting, DRM, telemetry opt-out, or any other technical protection measures.
3.6 Use for unlawful purposes
Use the Software to process content in violation of applicable law, the Acceptable Use Policy, or third-party rights.
4. Telemetry
Analytics is off by default. The Software sends pseudonymous usage data only if you opt in, to help us improve features. You may enable or disable it, or withdraw consent, at any time:
- Settings → Privacy → Enable / Disable analytics.
- Environment variable:
NOPARROT_TELEMETRY=0. - Configuration file flag.
Leaving analytics off does not affect Software functionality; it only limits our ability to diagnose bugs and prioritise features. See Privacy Policy §2.5 for what is collected.
5. Automatic updates
The Software may check for and download updates automatically during your active subscription. Updates may include:
- Bug fixes
- Security patches
- New features
- Compatibility improvements
You may disable automatic updates in Settings, but we strongly recommend keeping them enabled, particularly for security updates. We have no obligation to support or maintain outdated versions.
6. Third-party components
The Software incorporates open-source third-party components, each subject to its own
licence terms. A complete list, along with their respective licences and required attributions, is
distributed with the Software as THIRD_PARTY_LICENSES.txt and is available at
https://noparrot.com/legal/third-party-licenses.
Notable components include:
- OpenAI Whisper (MIT) — automatic speech recognition
- PyTorch (BSD-3-Clause) — ML framework
- pyannote-audio (MIT) — speaker diarisation
- WhisperX (BSD-4-Clause) — alignment and batching
- ctranslate2 (MIT) — inference engine
- Ollama (MIT) — local LLM runtime
- ffmpeg — audio/video processing. We distribute ffmpeg as an LGPL-2.1-or-later build that is
dynamically linked, and we do not enable GPL-licensed components. Your rights in ffmpeg are
governed by the LGPL; the corresponding source and licence text are provided in
THIRD_PARTY_LICENSES.txt.
7. Termination
7.1 By you
You may terminate this EULA at any time by uninstalling the Software and deleting all copies.
7.2 By us
We may terminate this EULA immediately if you breach any material term, including restrictions in Section 3 or the Acceptable Use Policy.
Termination for cause results in immediate licence revocation. Termination at the natural end of your subscription results in graceful downgrade — local features tied to Free tier continue to function; Pro features become unavailable.
7.3 Effect of termination
Upon termination, you must uninstall the Software and delete all copies in your possession. Provisions which by their nature should survive (IP, restrictions, limitation of liability) remain in effect.
8. Warranty disclaimer and limitation of liability
The Software is provided “AS IS” without warranty of any kind, except as required by applicable consumer-protection law.
Our total liability under or in connection with this EULA is limited as described in Terms of Service §13 and applies on an aggregate basis across this EULA and the Terms of Service.
Nothing in this EULA limits liability that cannot be excluded under applicable law (including, for EU/EEA consumers, liability for breach of essential contractual obligations).
9. Export controls
The Software may be subject to export controls. You agree not to export, re-export, or transfer the Software to any destination, person, or use prohibited by export-control laws applicable to you, including the US Export Administration Regulations and EU dual-use regulations.
10. Governing law and disputes
This EULA is governed by the laws of Georgia (country), without regard to conflict-of-law principles.
Disputes are resolved as described in Terms of Service §15, which is incorporated by reference.
11. Updates to this EULA
We may update this EULA from time to time. Material changes will be communicated through the Software and via email to subscribers. Continued use of the Software after the effective date of the changes constitutes acceptance.
